- Prepare and file articles of incorporation, as well as conduct a name search and reservation.
- Organize meetings, prepare resolutions, and take minutes.
- Track and report on the progress of multiple Initial Public Offerings (IPOs) simultaneously while demonstrating a general understanding of the various securities, key players, and relevant laws.
- Prepare balance sheets, accurately record transactions in a stock ledger, amend articles of incorporation as necessary, and understand the timing and process for filing a statement of cancellation with the appropriate authorities.
- Schedule meetings in compliance with established quorum requirements, ensure timely communication of meeting details, and accurately apply each participant’s voting rights.
- Prepare and submit annual state reports per regulatory standards and efficiently communicate the annual shareholders’ report to all relevant parties.
- Identify, analyze, and apply knowledge of various business structures, tax implications, and liability to create suitable business entities for different scenarios.
- Prepare and file articles of amendment, restatement of the articles, and dissolution with the secretary of state or otherwise.
- Acquire general knowledge of tax law changes to maintain compliance.
