Job Summary: 
Welcome in the new year by joining our talented legal team in Reston, Virginia in the newly created Senior Legal Specialist role concentrating on Corporate Governance and Capital Markets Transactions. You will work primarily with two fabulous attorneys alongside a highly collaborative legal group. Our office is conveniently located across the Toll Road from Reston Town Center and is equipped with a work out center, on site cafeteria, and is situated directly adjacent to the Reston metro stop opening in the future. In this role, you will work collaboratively with in-house attorneys and other internal clients on a variety of corporate compliance and transactional matters for Navient Corporation, its subsidiaries and affiliates, and routinely interface with outside counsel and other corporate service providers. Essential Job Functions Include: 1. Corporate Governance *Maintains corporate books and records for Navient Corporation and its multiple subsidiaries *Generates resolutions and agreements *Incorporates, dissolving and merging legal entities *Manages corporate compliance filings including state annual reports. *Manages Navient registered agent relationships *Manages the process for planning and production of the Navient Corporation annual meeting of shareholders *Assists on an as-needed basis with meetings of the Navient Corporation Board of Directors. 2. Capital Markets *Responsible for a wide range of transactional and capital markets-related legal and compliance work in support of the company's funding needs *Maintains and updates team calendar, including schedule of open and closed transactions and deadlines for various closing requirements and ongoing disclosure and reporting obligations. *Assists with the closings of new financial transactions *Prepares initial drafts of, coordinates review and approval process for, and files SEC reports relating to securitization trusts, including monthly Form 10-Ds and annual Form 10-Ks.
Requirements or Qualifications: 
*Bachelor's degree *At least 3 years of relevant experience in a law firm, an in-house legal department, or regulatory experience *Ability to thrive in a high production environment delivering quality and timely work with complex transactions *Paralegal certificate preferred *Superior attention to detail and strong writing skills *A hard-working self-starter with excellent attention to detail, thrives in a fast-paced, energetic and entrepreneurial environment, and has excellent problem solving, interpersonal and communication skills *Ability to work under pressure independently, as well as part of a team.
