The Chicago office of Perkins Coie is seeking a talented, experienced Paralegal to support attorneys in our Business Group.

Working under the direction of Partners and Associates, this position will be responsible for providing a broad range of support to our attorneys with tasks such as:

  • Transactional responsibilities include due diligence production and/or review, drafting of miscellaneous transaction documents and management of closings - coordinating deal checklists, working group lists, timelines, signature pages and related workflow both internally and with clients and other counsel.
  • Preparing UCC financing statements and reviewing and summarizing the results of UCC and other lien searches.
  • Corporate maintenance responsibilities including drafting documents for formation of new entities, board and stockholder actions, maintenance of minute books, corporate records and stock ledgers, "blue sky" and other state and federal filings.
  • Maintaining good standing for legal entities in various jurisdictions; regularly update corporate databases and internal reference documents.
  • Responding timely to requests for information.
  • Reconciling and approving vendor invoices.

The Paralegal must possess a client focused approach to work, be able to handle multiple assignments efficiently, work well under pressure, and have the flexibility to assist teams in meeting client demands on accelerated schedules. The ideal candidate must have a strong work ethic, be a self-starter, and operate with strong initiative to meet billable requirements.

Requirements or Qualifications: 
• A minimum of 5 years recent corporate/finance paralegal experience in a law firm or equivalent. • Bachelor's degree (or equivalent) along with previous, recent corporate paralegal experience in a mid to large size law firm. • Strong knowledge of Illinois and Delaware corporate law, federal and state securities laws, option plan administration, venture capital finance and private company M&A is required. • Excellent proofreading and technical skills, keen attention to detail. • Ability to establish effective working relationships with firm lawyers and staff, clients and other professionals. • Professional oral and written communication skills with excellent email and telephone responsiveness. • Strong emphasis on customer service skills. • Familiarity with corporate service vendors and government agencies to obtain certified documents. • Flexibility with work schedule is required to accommodate overtime, including evenings, weekends and holidays, when necessary. • Paralegal certificate preferred. • Experience working with a document management system is strongly preferred.
