Key responsibilities of the position include: Board and Corporate Support Assist in matters relating to the board of directors, including drafting minutes, agendas, calendars, presentations to the board, written consents and resolutions, assist with director and officer annual questionnaires, organize/maintain digital minute books and other board related files in board portal Help prepare annual shareholder meeting materials, including the meeting notice, script, proxy Prepare resolutions, written consents, resignations, maintain subsidiary minute books, experience with UK corporate secretary duties a plus Maintain corporate secretary calendar Entity annual filings for states and foreign jurisdiction Compliance Assist with compliance committee matters, minutes, other documents Assist with conflict of interest/ethics certification process Contracts/Transactional Produce first drafts or mark-ups of NDAs, commercial partnering agreements, data use agreements and other transactional documentation and communicate key commercial terms Assist with maintenance of standard contract templates Litigation Assist with administration of legal holds and litigation discovery and organization of litigation related documentation Finance & M&A Assist with periodic corporate finance and M&A transaction documentation, organization Intellectual Property Maintain database of trademark registrations Assist with other Intellectual Property related matters.

Requirements or Qualifications:
Position Requirements: Bachelor’s degree in any field or equivalent work experience in lieu of degree. Paralegal certification required. Public notary certification is a plus. +7 years aggregate in house experience focused on the corporate secretary function; commercial contracts paralegal function, experience preparing board minutes, agendas, shareholders meeting materials. Experience with finance and merger and acquisitions transactions. Working knowledge of compliance programs. Excellent written and verbal communication skills. Accuracy with work, strong organizational skill, and attention to detail. Ability to deal tactfully and diplomatically with others. Ability to work well in a fast-paced environment. Flexibility to handle multiple priorities, sometimes simultaneously, under deadline pressure. Willingness to travel to other locations as necessary.
